Soonicorn Seller Policy
At Soonicorn, we are committed to building a strong and trusted brand by partnering with authorized sellers who share our dedication to product integrity, customer service, and responsible eCommerce practices. This Authorized Online Seller Policy outlines the terms and conditions that govern the resale of Soonicorn products via online platforms. This policy is designed to:
- Protect Soonicorn’s brand reputation and intellectual property
- Ensure customers receive authentic products with accurate information
- Promote fair competition and support authorized resellers
Soonicorn reserves the right to interpret, enforce, and amend this policy at its sole discretion.
1. Approved Sales Channels
Authorized resellers are permitted to sell Soonicorn products only through websites that are:
- Owned and operated by the reseller’s company, and
- Disclosed and approved by Soonicorn
Prohibited platforms include but are not limited to:
- Third-party marketplaces (e.g., Amazon, Walmart Marketplace)
- Classifieds (e.g., Craigslist, Facebook Marketplace)
- Selling through these channels without prior written consent from Soonicorn is strictly prohibited
2. Accurate Representation of Soonicorn Products
- All product listings must display accurate names, descriptions, and specifications.
- Soonicorn trademarks, logos, and images may only be used in approved formats.
- Products must be sold in original Soonicorn packaging; repackaging or relabeling is prohibited.
- Do not assign new UPCs or SKUs without written approval.
3. Advertising & Online Marketing
Resellers may not run paid ads (e.g., Google Ads, Meta Ads) using Soonicorn brand terms without written approval. Keyword advertising must not conflict with Soonicorn’s direct marketing efforts.
4. End User Sales Only
- Resellers may only sell Soonicorn products directly to end consumers.
- Reselling to other online sellers or distributors is not allowed.
- In the event of accidental sales to unauthorized resellers, full disclosure of the transaction details is required.
5. International Sales
- Soonicorn products may not be advertised or shipped outside of the U.S. without express written consent.
- You must not sell to any third party who exports products without authorization.
6. Bulk Sales Restriction
Resellers may not sell more than 3 cases of any product to a single customer in a single transaction without prior approval. Report any suspicious buying patterns to Soonicorn.
7. Brand Clarity & Product Integrity
Do not bundle, advertise, or promote non-Soonicorn items in a way that misleads customers into believing they are Soonicorn products.
8. Transparency of Seller Identities
Resellers must disclose to Soonicorn:
- All business names and DBAs
- Online properties and storefronts (including URLs)
- Any new seller accounts or listings

9. MAP Policy Compliance
All resellers must comply with Soonicorn’s Minimum Advertised Price (MAP) Policy, which will be provided separately. Violations may result in immediate termination of authorized status.
10. Legal & Regulatory Compliance
Resellers must adhere to all laws governing eCommerce, including but not limited to:
- FTC and advertising laws
- Privacy regulations (including CCPA and GDPR if applicable)
- PCI compliance for payment systems
- CAN-SPAM and email marketing rules
11. Enforcement & Penalties
Violations of this policy may result in:
- Immediate revocation of authorized status
- Suspension or termination of shipments
- Loss of access to Soonicorn product assets
- Legal action in the event of brand infringement
12. Authorized Reseller Benefits
Compliance with this policy grants resellers:
- Access to authentic Soonicorn products
- Use of approved brand assets
- Listing on the official Soonicorn website (upon request)
- Eligibility for marketing support and promotions
